1. Legally Binding Agreement These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you,” “user,” or “B2B partner”), and SMINDER Official. These Terms govern your access to and use of our website, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto. By utilizing our platform to purchase our ultra-absorbent detailing towels, you acknowledge that you have read, understood, and agree to be bound by all of these Terms.

2. Intellectual Property and Brand Rights Unless otherwise indicated, the website is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by SMINDER. They are protected by international copyright and trademark laws. You may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit our content for any commercial purpose without our express prior written permission.

3. Retail and Wholesale Purchasing Terms We make every effort to display the colors, features, and specifications of our 1200 GSM double twist microfiber towels as accurately as possible.

• Retail Purchases: All retail products are subject to availability. We reserve the right to discontinue any product at any time for any reason. Prices for all products are subject to change.
• Wholesale & B2B Purchases: Wholesale pricing tiers are exclusively available to approved business partners. A strict Minimum Order Value (MOQ) of $970 is enforced for all wholesale transactions. Wholesale partners are granted brand authorization to sell on platforms like Amazon, provided they adhere to our Minimum Advertised Price (MAP) guidelines. For B2B inquiries, you must communicate via sales@sminder.store.

4. User Representations and Conduct By using the SMINDER platform, you represent and warrant that:

• All registration and wholesale application information you submit is true, accurate, current, and complete.
• You will maintain the accuracy of such information.
• You have the legal capacity to agree to these Terms.
• You will not access the site through automated or non-human means, such as bots or scrapers, to extract our proprietary auto detailing product descriptions or pricing.
• You will not use the site for any illegal or unauthorized purpose.

5. Limitation of Liability and Disclaimers To the fullest extent permitted by law, SMINDER and its directors, employees, or agents shall not be liable for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of the site or our physical products. While our towels are engineered to be 100% scratch-free, SMINDER is not liable for damage to vehicle clear coats caused by improper washing techniques or embedded debris in the towel.

6. Governing Law and Dispute Resolution These Terms shall be governed by and defined following the laws of international commerce. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the recognized courts of our registered jurisdiction.
